By creating an account, purchasing credits, or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
These Terms of Use ("Terms") govern your access to and use of the QuickEETs platform, available at quickeets.com and ph.quickeets.com ("Platform"), operated by NDara Pte Ltd, a company incorporated in Singapore ("NDara", "we", "us", "our"). These Terms apply to all users, including exporters, manufacturers, food producers, importers, distributors, trade teams, and any other individuals or entities who access the Platform ("User", "you", "your").
Unless the context requires otherwise, the following terms have the meanings set out below:
The QuickEETs web application, decision engine, rules engine, compliance logic, and all associated services operated by NDara at quickeets.com and ph.quickeets.com.
A registered user account enabling access to the Platform.
Pre-purchased units of access applied per SKU onboarding or per readiness check, as further described in Section 6.
A distinct product unit submitted by a User for export readiness assessment.
The operational output generated by the Platform following validation of a submitted SKU, expressed as Export Ready, In Progress, or Not Ready, together with any associated fixes or notes.
All data, documentation, certifications, reports, and other materials submitted by a User in connection with a SKU or readiness check.
All data, text, files, and information submitted by a User to the Platform.
A defined export route between an origin market and a destination market supported by the Platform.
External services integrated with or used by the Platform, including Stripe for payment processing.
Any event beyond NDara's reasonable control, including natural disasters, cyberattacks, pandemics, power outages, changes in law or regulation, acts of government, or failures of third-party infrastructure.
QuickEETs is a Command Center for food export readiness. It helps users check whether their products are ready for export by SKU, route, and destination market — before delay or rejection occurs at the border. The Platform is powered by NDara's proprietary decision engine, rules engine, and compliance logic, and operates through the following five-step workflow:
Each step is designed to give exporters, manufacturers, and trade teams full visibility into compliance status before committing to a shipment decision.
Readiness Recommendations are operational outputs generated by software. They are not legal determinations, regulatory rulings, customs decisions, or guarantees of any kind. Users are solely responsible for their own compliance obligations, regulatory submissions, and shipment decisions.
To access the Platform, you must create an Account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account. You must notify NDara promptly at quickeets@ndara.io if you become aware of any unauthorised access to or use of your Account.
You may not share your Account with any other individual or entity unless expressly permitted by NDara in writing. NDara reserves the right to suspend or terminate any Account that it reasonably believes is being used in a manner inconsistent with these Terms.
Access to core Platform features is credit-based. Credits are purchased in advance and applied per new SKU onboarded or per readiness check, as specified on the Platform at the time of purchase.
All payments are processed in United States Dollars (USD) via Stripe. By purchasing Credits, you agree to Stripe's terms of service and privacy policy. NDara does not store your payment card details directly.
A launch offer of USD 150 in Credits is available for first product onboarding, subject to eligibility conditions and availability. NDara reserves the right to modify, extend, or withdraw this offer at any time without prior notice.
Credits are non-refundable once purchased, except where required by applicable law. NDara is not responsible for Credits consumed in connection with submissions that do not result in a favourable Readiness Recommendation.
NDara reserves the right to change pricing, credit values, and payment terms at any time. Changes will be communicated to Users with reasonable notice and will not affect Credits already purchased.
QuickEETs does not guarantee that any product assessed as Export Ready will receive approval or clearance from any government agency, regulatory authority, customs body, or border control in any jurisdiction; be accepted by any importer, distributor, buyer, or trade partner; or comply with all applicable laws and regulations in the destination market at the time of export.
The Platform's validation logic is based on export rules, regulatory requirements, and certification standards assembled by NDara. NDara does not guarantee that this information is complete, current, or accurate. Government agencies, importers, and distributors may change their requirements at any time without prior notice. NDara is not responsible for any loss, delay, rejection, or cost arising from unrefreshed requirements.
Actual time to completion depends on the responsiveness of the exporter, importer, relevant government agencies, certification bodies, and other stakeholders. NDara accepts no liability for delays attributable to third parties.
Users remain solely responsible for verifying all requirements directly with relevant authorities and trade partners; ensuring the accuracy, completeness, and legality of all Product Data and User Content submitted; making independent decisions about whether to proceed with any export shipment; and complying with all applicable laws and regulations in both origin and destination markets.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
You retain ownership of all User Content and Product Data you submit to the Platform. By submitting User Content and Product Data, you grant NDara a non-exclusive, worldwide licence to use, store, process, and share that data to the extent necessary to provide the Platform's services. You warrant that you have the right to submit all User Content and Product Data; the information submitted is accurate and not misleading; and the submission does not infringe the intellectual property rights or confidentiality obligations of any third party.
All intellectual property in the Platform — including NDara's decision engine, rules engine, compliance logic, workflows, interface, reports, and documentation — remains the exclusive property of NDara Pte Ltd. Nothing in these Terms grants you any rights in the Platform beyond the limited access right described herein. QuickEETs and the QuickEETs logo are trademarks of NDara Pte Ltd. You may not use these marks without prior written permission. Feedback or suggestions you provide regarding the Platform may be used by NDara at its discretion without obligation to you.
NDara does not guarantee uninterrupted, error-free, or timely access to the Platform. The Platform may be temporarily unavailable due to scheduled maintenance, upgrades, bug fixes, security incidents, or events beyond NDara's reasonable control.
QuickEETs is an evolving product. NDara may at any time modify, update, or upgrade features, workflows, and interface; fix bugs (which may cause temporary outages); change payment gateways or credit systems; add, modify, or remove features or supported corridors; or change the user interface or experience. NDara will endeavour to communicate material changes with reasonable notice where practicable.
NDara may suspend or restrict access to the Platform, in whole or in part, where reasonably necessary for maintenance, security, suspected misuse, breach of these Terms, or compliance with legal obligations. NDara will use reasonable efforts to minimise disruption and restore access as soon as practicable.
The Platform integrates with or relies on third-party services, including Stripe for payment processing. NDara is not responsible for the availability, accuracy, or conduct of any third-party service. Use of third-party services is subject to the respective terms and policies of those third parties.
This includes, but is not limited to, warranties of merchantability or fitness for a particular purpose; warranties of accuracy, completeness, or currency of regulatory or compliance information; warranties that the Platform will be uninterrupted, error-free, or free of harmful components; and warranties that Readiness Recommendations will result in export approval, regulatory acceptance, or commercial success.
To the fullest extent permitted by applicable law:
You agree to indemnify, defend, and hold harmless NDara, its directors, officers, employees, agents, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
Both parties agree to keep confidential any non-public information shared in the course of using the Platform that is identified as confidential or that a reasonable person would recognise as confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
These Terms remain in effect for as long as you maintain an Account or use the Platform. NDara may terminate or suspend your access at any time for breach of these Terms, suspected fraudulent use, or for any other reason with reasonable notice. You may close your Account at any time by contacting quickeets@ndara.io.
Upon termination, your right to access the Platform ceases. Unused Credits are non-refundable unless otherwise required by applicable law. Sections 4, 7, 10, 13, 14, 15, 18, and 19 survive termination.
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall first be subject to good faith negotiations between the parties. If unresolved within thirty (30) days, disputes shall be referred to mediation at the Singapore International Mediation Centre (SIMC). Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from the courts of Singapore.
These Terms constitute the entire agreement between you and NDara with respect to your use of the Platform, and supersede all prior agreements, understandings, and communications.
NDara may update these Terms from time to time. Updated Terms will be posted at quickeets.com. Continued use of the Platform after publication constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and NDara.
